T&G Global Limited

T&G Global (consumer brands ENVY, JAZZ, JOLI, TUTTI, Orchard Rd, Beekist and Lotatoes; the New Zealand domestic business trades as T&G Fresh)

T&G Global Limited is a New Zealand fresh-produce company listed on the New Zealand Exchange as TGG, in which the value sits largely in proprietary plant varieties rather than in orchards. Its head office is at Central Park, 660 Great South Road, Ellerslie, Auckland, and its own wording is that the business began as Turners and Growers more than 125 years ago, with no founding year stated. BayWa Global Produce GmbH, part of Germany's BayWa AG, holds about 74%, and Joy Wing Mau Group of Hong Kong about 20%.

The commercial model is intellectual property plus export marketing. T&G owns and manages apple varieties including ENVY, JAZZ, JOLI and TUTTI, licenses their cultivation to growers in more than 13 countries, and sells the fruit into more than 55 markets. The strategy has produced a demonstrable brand: on 15 April 2026 ENVY became the first New Zealand apple brand to pass NZ$1 billion in cumulative global retail sales, and United States household penetration rose from 7.2% in 2023 to 12.4% in 2025.

FY2025, the year ended 31 December 2025, was a sharp recovery. Group revenue was NZ$1.6 billion, up 14% from NZ$1.4 billion, with operating profit of NZ$46.9 million against NZ$12.7 million, profit before tax of NZ$21.9 million and net profit after tax of NZ$16.0 million against a prior-year loss of NZ$9.9 million. The apples division earned NZ$1.0 billion, up 22%, with divisional operating profit of NZ$74.7 million, about 63% of group revenue rather than the 67% in the research document. T&G Fresh contributed NZ$461.0 million and VentureFruit NZ$9.0 million, the latter at an operating loss of NZ$2.4 million.

The domestic business is being sold, and the transaction is agreed rather than under evaluation. On 31 July 2026 T&G signed and largely completed the disposal of T&G Fresh in three parts: the Fiji and Pacific Islands export business to Bidfood Pacific Islands Limited, completing on 31 August and 1 September 2026; 51% of Unearthed Produce Limited to Pukekawa Holdings and Ashsadeep, completed on 31 July 2026; and the New Zealand domestic fresh produce business to J & P Turner Limited, subject to Commerce Commission clearance.

Control of the company is itself in play. BayWa announced in July 2025 that it wanted to sell its roughly 74% holding, T&G confirmed on 26 March 2026 that Goldman Sachs had been engaged, and the process has been blocked by the approximately 20% shareholder Joy Wing Mau Group; it remained unresolved as of October 2026. None of that makes T&G a subsidiary of a Fortune Global 500 company: BayWa AG is not a Fortune Global 500 company, having reported FY2024 revenue of EUR 21.1 billion, about US$22.8 billion, with EBIT of about negative EUR 1.1 billion, and a subsidiary would not inherit the status in any case.

The variety pipeline is where growth is aimed. ENVY is the third-largest apple brand in China, first in Vietnam and second in Thailand, with China sales up 26% in the first half of 2026, and T&G licensed 300 hectares of TUTTI apples to Joy Wing Mau in 2025. JOLI was launched with 273 hectares licensed in New Zealand against a global target of 1,500 hectares by 2035. Two research claims are not repeated because neither could be verified: that China is about 30% of apple export value, some US$180 million, and that T&G produces or licenses 350,000 tonnes of proprietary apples a year, a volume it reports in tray carton equivalents.

Business Nature

T&G Global owns part of its supply chain and licenses most of the rest. Orchard production for its premium varieties is largely carried out by licensed growers in more than 13 countries rather than on company-owned land. What it owns includes post-harvest and market infrastructure: T&G names the Whakatu packhouse in Hastings and the Nelson site in Stoke as capital expenditure sites for premium apple capacity, and runs market trading halls across nine New Zealand locations. It does not publish a total facility count. Overseas marketing runs through subsidiaries including ENZAFRUIT Products Inc. in the United States, ENZAFRUIT Peru S.A.C. and T&G Chile SpA. Intellectual property is owned rather than licensed in: VentureFruit holds commercialisation rights including JOLI, and TUTTI was licensed to Joy Wing Mau across 300 hectares in 2025. Australian blueberry farms moved into VentureFruit with the disposal. The operating asset base is changing: T&G Fresh was sold in three transactions signed and largely completed on 31 July 2026. Control sits with BayWa Global Produce GmbH at about 74% and Joy Wing Mau Group at about 20%; BayWa's parent is not a Fortune Global 500 company and a subsidiary would not inherit that status.

Corporate Report

T&G Global Limited is a New Zealand company listed on the NZX as TGG whose profit engine is proprietary apple varieties rather than orchards. Headquartered at Central Park in Ellerslie, Auckland, it earned NZ$1.6 billion of revenue in FY2025, the year ended 31 December 2025, and licenses ENVY, JAZZ, JOLI and TUTTI to growers in more than 13 countries. VerityRank places it ninth in the Top 10 Fresh Fruit Brands 2026.

Industry Position

T&G Global is the clearest example in this ranking of agricultural intellectual property as a business model. It controls apple varieties, licenses their cultivation across hemispheres so that supply is continuous, and captures value from the brand at retail rather than only from the fruit at the farm gate. The apples division produced NZ$1.0 billion of revenue in FY2025, up 22%, and NZ$74.7 million of divisional operating profit.

That division is about 63% of group revenue, not the 67% stated in the research document, and it is the reason the group returned to profit in FY2025 after a loss year. The remaining group revenue came from T&G Fresh, the New Zealand domestic produce business now being sold, and from VentureFruit, the variety breeding and licensing arm.

Competitive Advantages

The first advantage is a brand that has crossed into consumer franchise territory. On 15 April 2026 ENVY became the first New Zealand apple brand to pass NZ$1 billion in cumulative global retail sales. It is grown in more than 13 countries and sold in more than 55 markets, and United States household penetration rose from 7.2% in 2023 to 12.4% in 2025, which is a measure of repeat purchase rather than of distribution.

The second is Asia-Pacific positioning. ENVY is the third-largest apple brand in China and the leading brand in Vietnam, with Thailand second, and China sales grew 26% in the first half of 2026. T&G also licenses its pipeline rather than only its own orchards: 300 hectares of TUTTI apples were licensed to Joy Wing Mau in 2025, and the new JOLI variety already has 273 hectares licensed in New Zealand against a global target of 1,500 hectares by 2035.

Strategic Expansion

The strategic direction is a narrower, higher-margin company. The T&G Fresh disposal is agreed and largely completed rather than under evaluation: on 31 July 2026 the Fiji and Pacific Islands export business was sold to Bidfood Pacific Islands Limited and 51% of Unearthed Produce Limited was sold to Pukekawa Holdings and Ashsadeep, both completed, while the New Zealand domestic fresh business went to J & P Turner Limited subject to Commerce Commission clearance. Australian blueberry farms were retained inside VentureFruit.

The half-year to 30 June 2026 shows the cost of that decision: revenue of NZ$572.3 million, up 2.6%, and operating profit of NZ$11.6 million, up 30.3%, against a NZ$34.4 million impairment on the disposal that produced a reported loss of NZ$30.5 million. Separately, the ownership question is unresolved: BayWa's attempt to sell its roughly 74% stake has been blocked by the approximately 20% holder Joy Wing Mau Group, and no outcome was reached as of October 2026.

Risks & Outlook

Governance and control are the first risk. A 74% shareholder trying to exit and a 20% shareholder able to block that exit leave the company's ownership in suspension, and the process has already run for more than a year without resolution. The disposals also carry execution risk: the New Zealand domestic sale still required Commerce Commission clearance, and the group carried a NZ$34.4 million impairment because of it.

On status, the record needs to be exact. BayWa AG, T&G's controlling shareholder, is not a Fortune Global 500 company, and it would make no difference to this ranking if it were, because a subsidiary does not inherit Fortune Global 500 status, which attaches to the ranked entity itself. T&G is evaluated here on its own NZ$1.6 billion of FY2025 revenue and its variety portfolio. VerityRank Score of 84/100.
