Costa Group Holdings Pty Ltd

Costa

Costa Group Holdings Pty Ltd is an Australian horticultural grower, packer and marketer of fresh produce that trades under the brand Costa, with consumer labels including MushBoom, Perino and Lovacado. Its business support centre is at Level 5, 818 Bourke Street, Docklands, VIC 3008, Australia; the long-standing registered and principal address up to August 2023 was 275 Robinsons Road, Ravenhall, VIC 3023. Costa Group is not a Fortune Global 500 company. It has been privately held since February 2024 and its last public full-year revenue, A$1,458.55 million for FY2023, is far below Fortune Global 500 scale; no consortium member's size is Costa's own size.

The business traces to a family produce operation in the late 1800s. Company history dates its origins to 1895, when Francesco Costa arrived in Australia from Salina, Italy, and the February 2024 take-private announcement describes a company started by the Costa family in Geelong, Victoria with a more than 120-year history. The founding year of 1888 that appears in third-party reference material such as Wikipedia has no company source. The listed entity, ACN 151 363 129, was registered on 29 June 2011, floated on the ASX in July 2015 and was renamed Costa Group Holdings Pty Ltd on 3 June 2024 after the take-private.

FY2023, the year ended 31 December 2023, produced revenue of A$1,458.55 million, sales of A$1,420.73 million and a net loss of A$24.32 million, against FY2022 revenue of A$1,357.56 million and net income of A$33.63 million. The last half-year disclosure, the 26 weeks ended 2 July 2023, reported revenue of A$770.7 million, up 8.7%, EBITDA-S of A$150.2 million, NPAT-S of A$37.8 million and net debt of A$350.1 million at 2.31x leverage. No FY2024 or FY2025 results exist publicly: Costa was taken private in February 2024 and no longer files financial statements.

Production spans four countries. In Australia the group runs mushroom farms at Monarto in South Australia, Mernda in Victoria and Casuarina in Western Australia; glasshouses at Guyra in New South Wales; citrus farms and packhouses including Kangara at Murtho and Yandilla at Renmark; berry farms in four states with a packhouse and distribution centre at East Devonport; a banana farm at Walkamin; and avocado farms at Comboyne, Fishermans Reach and four Queensland sites. Berry International operates nine growing sites in Yunnan, China, farms at Larache and six further Moroccan locations, and a new operation at Paksong in Laos. Total cropping area is 8,532 hectares, of which 2,565 hectares, or 30%, is protected, and the 2025 workforce was 11,156 FTE direct hires.

Ownership is a consortium structure. Costa was acquired by Chilli Buyer Pty Ltd, a bidco for a consortium led by Paine Schwartz Partners with Driscoll's, Inc. and British Columbia Investment Management Corporation, at A$3.20 cash per share, an equity value of about A$1,496 million and an enterprise value of about A$2,459 million; Paine Schwartz and Driscoll's affiliates held about 19.62% of the shares before the scheme. Driscoll's is a minority co-investor and long-standing berry joint-venture partner, not the acquirer. On category claims: Australia's largest citrus grower and Australia's leading mushroom grower are company statements, but for berries its website says only that it is one of Australia's leading berry producers. Stone fruit is not a disclosed core category, and no country count or facility count is published.

Business Nature

Costa Group is a self-producing horticultural operator: it owns or leases the farms, glasshouses, packhouses and compost facilities behind its products, whose MushBoom, Perino and Lovacado labels sit on produce it grows, not buys. Cropping area in 2025 was 8,532 hectares, 30% protected. Overseas production sits in Berry International on the same owned-asset model: nine growing sites in Yunnan, China, Moroccan farms around Larache with a 10,000 sq m, 12-lane packhouse, and a berry operation at Paksong in Laos. Blueberry varieties are also licensed in the Americas and southern and eastern Africa, earning royalties, not produce margin. Not everything is owned: no facility or country count is disclosed, and the Moroccan footprint includes third-party growers. Labour: 11,156 FTE for 2025, split Australia 5,157, China 3,351, Morocco 2,551 and Laos 97. Costa has been private since 26 February 2024, acquired through Chilli Buyer Pty Ltd by a consortium led by Paine Schwartz Partners with Driscoll's, Inc. and British Columbia Investment Management Corporation. Driscoll's is a minority co-investor and berry joint-venture partner, not the acquirer; no consortium member's scale is Costa's scale. Costa is not a Fortune Global 500 company.

Corporate Report

Costa Group Holdings Pty Ltd is an Australian grower, packer and marketer of fresh produce trading as Costa. It was taken private in February 2024 and delisted from the ASX on 27 February 2024, so its last public full-year revenue remains A$1,458.55 million for FY2023, the year ended 31 December 2023. The 2025 Sustainability Report counts 11,156 FTE employees across Australia, China, Morocco and Laos and 8,532 hectares of cropping. VerityRank ranks it among the Top Fresh Fruit Manufacturers, and it is not a Fortune Global 500 company.

Industry Position

Costa is a mid-sized vertically integrated horticultural group rather than a global trading house. FY2023 revenue of A$1,458.55 million, sales of A$1,420.73 million and a net loss of A$24.32 million compare with FY2022 revenue of A$1,357.56 million and net income of A$33.63 million. Because the company left the public market in February 2024, FY2023 remains the last audited full year and no FY2024 or FY2025 figures exist.

Position claims need to be read precisely. Australia's largest citrus grower and Australia's leading mushroom grower, also described as the Southern Hemisphere's largest mushroom grower, are company statements with company support. The comparable claim for blueberries is not: the company's own site says it is one of Australia's leading berry producers. Its scale is far below Fortune Global 500 level, and no shareholder's size changes that.

Competitive Advantages

The first advantage is owned production rather than traded volume. Costa holds farms, glasshouses, packhouses, compost facilities and distribution centres across Australia, with 8,532 hectares of cropping of which 2,565 hectares, or 30%, is protected cropping. Protected cropping supports year-round supply of berries and snacking tomatoes and is the main technical barrier to entry in Australian horticulture, because it decouples output from open-field weather.

The second is genetics and labour. Costa owns a blueberry breeding pipeline: its Eterna variety was confirmed by Guinness World Records in March 2024 as the world's heaviest blueberry at 20.40 grams, picked on 13 November 2023 at the Corindi farm in New South Wales. The 2025 workforce was 11,156 FTE direct hires, 5,157 in Australia, 3,351 in China, 2,551 in Morocco and 97 in Laos, across 94 nationalities.

Strategic Expansion

Growth is now international and asset-based. In March 2025 Costa launched a berry operation at Paksong on the Bolaven Plateau in Laos with 17 hectares of blueberries, a further 50 hectares planned for 2026 and up to 200 hectares by 2028, staffed by 65 local employees with a stated plan to reach 2,000. In Morocco the African Blue business had about 345 hectares under cultivation and a ten-year programme targeting the replanting of more than 706 hectares by 2031, served by a 10,000 sq m, 12-lane packhouse at Larache.

Domestic capacity was also rebuilt. In April 2026 the mushroom network at Monarto, Mernda and Casuarina added 40 tonnes of weekly capacity, about two million mushrooms a week, and in May 2026 the company launched BluGenix, a dedicated blueberry breeding brand. Climate resilience work included 53 hectares of hail netting completed at the Kangara orchard in September 2025, a verifiable project standing in for the unverifiable account of a fourth-phase Yunnan expansion.

Risks & Outlook

The dominant structural fact is private ownership with no public reporting. Costa was bought by Chilli Buyer Pty Ltd for a consortium led by Paine Schwartz Partners with Driscoll's, Inc. and British Columbia Investment Management Corporation, at A$3.20 a share, an equity value of about A$1,496 million and an enterprise value of about A$2,459 million. Paine Schwartz and Driscoll's affiliates held about 19.62% of shares before the scheme. Driscoll's was a minority co-investor and a longstanding berry joint-venture partner, not the acquirer.

No fresh financials therefore exist, and several widely repeated figures are wrong: Yunnan is disclosed at 440 hectares in 2025, not more than 1,000 hectares, and the 1,042 hectare figure belongs to Morocco and includes third-party growers; no country count, facility count or China revenue split is published; and weather and labour cost risk across Australian, Chinese and Moroccan sites remains the main operating exposure. Outlook depends on protected cropping and proprietary genetics rather than on scale. VerityRank Score of 81/100.
